ESSENSA NATURALE INC. TERMS AND CONDITIONS FOR MEMBERS
That to become a member of Essensa Naturale Inc., I have agreed with the company’s Terms and Conditions, namely:
1. A member guarantees that all the details in the information sheet are true and accurate upon which Essensa Naturale can depend as reference. Any false information therein can, and may be used by Essensa Naturale, if necessary, at its own discretion, to cause the termination of the member.
2. A member is an independent entrepreneur/entity and his/her association with Essensa Naturale does not create any principal-agent, master-servant, employee-employer, joint venture, or partnership relationship.
3. A member is entitled to sell and promote to any customer and is hereby allowed to submit all the necessary documents, i.e.; information sheet, bank deposit slips or money order payable towards the purchase of any Essensa Naturale’s products. Check payments should be made payable to Essensa Head Office of any concerned Essensa Depot-Distribution Center, whichever is applicable, and directly remitted to any of their respective bank accounts. Members are not authorized nor sanctioned by Essensa Head Office or Depot-Distribution Center to accept cash payments in their behalf. Essensa shall not be liable for any monetary loss in the course of remittance of payments. However, a member may buy any item(s) from the Essensa Head Office or Depot-Distribution Center and re-sell those to others at Essensa’s prescribed prices, for which he/she is authorized to receive corresponding payments from his/her buyers.
4. Pursuant to the Consumer Act of the Philippines, all members shall be entitled to the corresponding commissions as stipulated in the Essensa member program. In line with this, Essensa reserves the right to withhold appropriate taxes from the commissions and other monetary benefits of its members. This shall be remitted directly to the Bureau of Internal Revenue by Essensa.
5. Membership with Essensa Naturale Inc. is for a lifetime, unless and until it lapses or is terminated for cause as described in Sections 6, 8 and 10 below, and no yearly renewal of membership is necessary. As lifetime member, he/she can always avail of the member’s price. However, to continuously enjoy the monetary benefit derived from the Binary & Unilevel Commission Schemes, the member should at least maintain a minimum of 500 Point Value purchases and 2 direct recruits every calendar year. If a member is inactive for one calendar year, the member can only enjoy the member’s price of Essensa Naturale as a lifetime member but shall no longer be entitled to any monetary benefit.
6. Failure to comply with the above requirements shall render the membership of the concerned to lapse on the anniversary of registration date without need of further notice. Any reinstatement may be done within 3 months from the date the membership lapsed. The reinstatement requires the member to purchase the monthly PV required for 12 months or one year and the prior approval of the management for the reinstatement.
7. Member whose membership has lapsed may re-register as new Member under the same or another sponsor; however, he will be considered and deemed as new member and therefore, not entitled to his former networks
8. A member shall be terminated if he (or any one of the spouse/partner/party/member of the company including proxy is directly or indirectly involved in any of the disciplinary cases such as: • Sponsoring other members / prospects in an improper / invalid manner • Involved in other networking companies or any company having direct competition / conflict of interest with Essensa Naturale. • He / She may engage in any other business, occupation or activity provided that it does not, in Essensa’s opinion, would cause a breach of or conflict with Essensa Naturale’s interest • In breach of ESSENSA NATURALE Terms & Conditions, Rules & Regulations, Code of conduct, Marketing Plan or any of its policies. • Conducting any activities that directly or indirectly will bring negative effects on Essensa or affect Essensa’s goodwill • Making false claims relating to the company, its products or its marketing plan • Any other cause / reason deems necessary and fit by Essensa Naturale Inc.
9. Essensa encourages mutual aid and team work among members. Any member found guilty, after due hearing of having swayed or influenced other Essensa Members to transfer from one sales group to another shall be given proper sanctions, including forfeiture of commission for grave violations.
10. Essensa reserves the right, after due hearing, to suspend/terminate the account of any member who is found guilty of making false representation and prejudicial to the interest of Essensa, fraudulent acts committed against Essensa or of his/her colleagues in Essensa, or is otherwise found committing acts inimical or damaging to the reputation and goodwill of Essensa without prejudice to the right of Essensa to file the necessary suit in court. As such, this likewise warrants the suspension and eventual forfeiture of all unreleased and/or accruing commissions and other fringe benefits pertaining to the member’s account/s with Essensa.
11. In accordance with banking practices, checks issued to a member must be claimed and negotiated within six months from date of issuance. However, if a check remains unclaimed for a period of one year, any amount due therein shall be deemed forfeited.
12. The selling price of any Essensa products is determined by Essensa and no member shall be allowed to reduce the member’s price or increase more than the SRP without obtaining prior approval of Essensa Naturale Inc. for its discounts, free gift or promotions.
13. Member agrees that he / she shall not, except to the extent authorized in the applicable policies, procedure and guidelines, use or exploit Essensa’s intellectual property rights which include but not limited to trademarks, or trade names or any logos, product names, designs or copyright belonging to Essensa Naturale Inc.
14. Member agrees that all advertising materials must comply with policies or guidelines issued by Essensa Naturale Inc. from time to time. Essensa Naturale Inc. may request the removal of any advertising materials regardless of whether such materials were previously approved.
15. If a member passes away, his/her beneficiary as written in his/her account in the Essensa computer system will automatically take over the membership after an authenticated death certificate and other proofs, if needed by Essensa, are submitted to the Essensa Head Office. If no beneficiary is named, the transfer of membership will be determined as per the law prevailing in the country. Essensa Naturale reserves the right to suspend any and all benefits including but not limited to bonuses, commissions until the issue is resolved.
16. He / she agrees to be bound by the terms and conditions of this contract agreement, any applicable laws and regulations, and any applicable policies, procedures or guidelines issued by the company, which may be amended from time to time as Essensa deems necessary. Such policies, procedures, or guidelines shall be incorporated into and form part of this contract agreement as if set out in full in this contract.
17. ESSENSA NATURALE INC. reserves its right, at all time to amend, add, delete or modify the Terms and Conditions without any prior notice and the same shall be effective immediately, bound and governed all its members.
18. Essensa may seek enforcement of its rights herein in any court of the Philippines where it has its main offices or branches and/or terminate this agreement upon default of a member of his/her obligation as set forth herein and/or in the company policy manual. This is Essensa Naturale’s management option.
19. The member vows that she/he has read and fully understood the provision herein and obligates himself/herself to update of any subsequent and/or future alteration, amendments and/or additions hereto as stipulated by Essensa in order to comply with applicable laws and prevailing economic conditions.
